1. Acceptance of Terms

By accessing or using NexTool's website, free tools, digital products, or services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Services Description

NexTool is an AI-powered digital studio that provides:

• Digital Services: Custom websites, chatbots, automations, content creation, video production, and data solutions — starting at $5.
• Free Tools: A collection of 100+ browser-based developer and design tools available at no cost.
• Digital Products: Purchasable bundles, kits, and toolkits for developers and businesses.

3. Payment Terms

• All payments for services and digital products are processed via PayPal.
• Prices are listed in USD unless otherwise stated.
• Payment is required before work begins on custom services.
• Refunds for digital products: Due to the nature of digital goods, refunds are not available after delivery. If a product is defective or not as described, please contact us and we will work to resolve the issue.
• Refunds for custom services: If we are unable to deliver the agreed-upon service, a full refund will be issued. Once a deliverable has been sent for review, revision rounds are included as part of the service — not grounds for a refund.
• Revision rounds are included with custom services as specified in the service tier purchased.

4. Intellectual Property

• Custom deliverables: Upon full payment, the customer owns the final deliverables (websites, chatbots, content, etc.) created specifically for them.
• NexTool property: NexTool retains all rights to its tools, templates, code base, frameworks, underlying systems, and any pre-existing intellectual property used in the creation of deliverables.
• Portfolio use: NexTool reserves the right to showcase completed work in its portfolio unless the customer explicitly requests otherwise.

5. Free Tools

NexTool's free browser-based tools are provided "as is" without any warranty of any kind, express or implied. Specifically:

• We do not guarantee uninterrupted or error-free operation.
• Tools may be modified, updated, or removed without prior notice.
• All processing happens locally in your browser — we do not store or transmit your data.
• We are not liable for any loss or damage resulting from the use of free tools.

6. Digital Products

• Digital products are sold on a license basis.
• Unless otherwise specified, purchased products may be used for personal and commercial purposes.
• Redistribution, resale, or sharing of purchased digital products is strictly prohibited.
• Products are delivered digitally. You are responsible for downloading and storing your purchases.

7. User Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Attempt to reverse-engineer, decompile, or extract source code from our products or tools.
• Redistribute, resell, or sublicense any digital products without authorization.
• Interfere with or disrupt the Services or servers.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NexTool and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services.

Our total liability for any claim arising from the Services shall not exceed the amount you paid to NexTool in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. NexTool makes no warranties, expressed or implied, regarding the reliability, accuracy, or availability of the Services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Services after changes are posted constitutes acceptance of the revised terms.

11. Termination

We reserve the right to suspend or terminate access to our Services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Austria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Austria.
